Information on change of percentage share in Netia's share capital (44/2013)
According to the notification, the abovementioned increase of the ownership resulted from the fact of registering, in the National Court Register, a decrease of share capital of Netia by amending the Company Statute after the redemption of 38,370,130 Netia own shares that were acquired by the Company under the buy-back program relating to the Company treasury shares (see Netia’s current report No. 43/2013 dated October 30, 2013). The number of votes from the Company shares managed by Third Avenue Management in relation to the total number of votes in the Company, expressed in percentage, exceeded 15% of the total votes in the Company without any change in the number of Company shares or votes. Third Avenue Management became aware of the percentage change in its holding in the total votes in the Company resulting from the decrease of Netia share capital on October 30, 2013.
As of October 30, 3013 Third Avenue Management holds 57,878,899 Netia shares, representing 16.64% of Netia’s share capital and entitling the holder thereof to exercise 57,878,899 votes, which represents 16.64% of the total number of votes at Netia’s General Meeting of Shareholders.
Prior to the above change, Third Avenue Management LLC held 57,878,899 Netia shares, which represented 14.98% of Netia’s share capital and was entitled to 57,878,899 votes, representing 14.98% of the total number of votes at Netia’s General Shareholder Meeting.
Furthermore, Third Avenue Management LLC notified of the following list of clients who transferred voting rights under Company shares they hold to Third Avenue Management LLC:

- Litman/Gregory Masters’ Select International Fund Masters’ Select Funds Trust
- Third Avenue Separately Managed Accounts
- Third Avenue Institutional International Value Fund
- Third Avenue International Value Fund
- Third Avenue International Value Fund UCITS
